(Sale and Purchase Agreement for Alcoholic Beverages in the Kiyali Online Store)

This document is an official public offer (hereinafter – the Offer) of LLC “Kiyali Ukraine” (hereinafter – the Seller) addressed to any legally capable individual or legal entity (hereinafter – the Buyer) regarding the conclusion of a sale and purchase agreement for alcoholic beverages by remote means through the Seller’s online store in accordance with Articles 633, 641 of the Civil Code of Ukraine and the Law of Ukraine “On Electronic Commerce”.

Acceptance of this Offer (acceptance) takes place by the Buyer placing an order on the Seller’s website and confirming it. From the moment of acceptance, this Offer is considered a concluded sale and purchase agreement between the Seller and the Buyer.

1. Subject of the Agreement

1.1. The Seller undertakes to transfer ownership of alcoholic beverages under the Kiyali brand to the Buyer, and the Buyer undertakes to accept and pay for them under the terms of this Offer.
1.2. Ownership of the goods passes to the Buyer at the moment of full payment and transfer of the goods to the delivery service or directly to the Buyer.

2. Terms of Sale

2.1. Alcoholic beverages may only be purchased by persons who are at least 18 years old.
2.2. By placing an order, the Buyer confirms that he/she is at least 18 years old and bears personal responsibility for the accuracy of the provided information.
2.3. The Seller reserves the right to refuse sale or delivery of the goods in case of doubts regarding the Buyer’s age.

3. Order Procedure

3.1. Orders are placed by completing an electronic form on the Seller’s website.
3.2. An order is considered accepted after confirmation by the Seller in written (electronic) or verbal form.
3.3. The Seller has the right to refuse fulfillment of the order if the product is out of stock, if there is a pricing error, or if the Buyer provides inaccurate information.

4. Price and Payment Procedure

4.1. The price of the goods is indicated on the Seller’s website in Ukrainian hryvnia (UAH) and includes all mandatory payments.
4.2. The final order price is determined taking into account delivery costs.
4.3. Payment is made in the ways provided on the website.
4.4. The order is executed only after full payment, unless otherwise specified in the delivery conditions.

5. Delivery

5.1. Delivery of goods is carried out through courier and postal services that cooperate with the Seller.
5.2. The risk of accidental loss or damage to the goods passes to the Buyer from the moment the goods are handed over to the delivery service.
5.3. Delivery terms and conditions are determined by the selected delivery service.

6. Returns and Exchange

6.1. Alcoholic beverages are non-returnable and non-exchangeable, in accordance with Resolution of the Cabinet of Ministers of Ukraine No. 172 dated March 19, 1994.
6.2. Returns are possible only in case of receiving goods of improper quality (damaged packaging, expired shelf life, etc.).
6.3. In case defects are found, the Buyer must notify the Seller no later than 24 hours after receiving the goods.

7. Liability of the Parties

7.1. The Seller is responsible for the quality and compliance of the goods with the requirements of the legislation of Ukraine.
7.2. The Seller is not liable for the consequences of excessive or improper consumption of alcoholic beverages.
7.3. The Buyer bears full responsibility for the accuracy of the information provided, as well as for compliance with legal restrictions regarding the consumption of alcohol.

8. Force Majeure

The Seller is released from liability for partial or complete failure to fulfill obligations under this Agreement in the event of force majeure circumstances, confirmed by the Chamber of Commerce and Industry of Ukraine.

9. Amendments to the Agreement

9.1. The Seller has the right to amend the terms of this Offer at any time without prior notice.
9.2. The new version of the Agreement becomes effective from the moment of its publication on the Seller’s website.

10. Dispute Resolution

10.1. All disputes and disagreements arising between the Seller and the Buyer shall be resolved through negotiations.
10.2. If an agreement cannot be reached, the dispute shall be settled in court in accordance with the current legislation of Ukraine.
